By using the services and/or products of iWebFolio, you agree to the terms of service as set out below.

1. All quotations given are estimates only and may be subject to change upon viewing customer’s final artwork or exact specifications. Quotations will be confirmed with the customer before we proceed with any order. All quotes are E&OE and in the unlikely event where iWebFolio has made a mistake on the quotation with regards to any pricing or specification reserves the right to cancel the order and fully refund the customer any deposits made.

2. The product or service delivered shall be according to the specifications as detailed on our price lists, quotations and/or invoices. If a client has specific requirements these should be clearly mentioned and confirmed by iWebFolio, as we shall only be responsible to produce products and services as described and specified in these document.

3. Turnaround times as published on this website is estimates only and exact delivery times must be confirmed on order as turnaround time on orders may change somewhat due to a variety of factors including, but not limited to special paper orders, special finishing requirements, size of order etc.

4. Whilst all effort is made to keep colours as accurate as possible - there are various factors that may cause slight variations in colour - and therefore a 100% colour accuracy cannot be guaranteed.

5. All completed print orders are couriered to the customer through any of our contracted third party couriers. In the event of large parcels or where customers are located in outlying areas these orders may be sent on an economy service - which may take on average 2-4 days as opposed to the next (week) day delivery of most of our parcels. If client wishes to use their own Courier services this needs to be advised to iWebFolio on accepting the given quotation of their orders. Collection of orders will only be permitted through third party / courier agents and not by clients themselves. Please also be advised delivery will be 1-2 working days once order has been completed and ready to dispatch to client and is not included in the service turnaround time on their order placed.

6. It shall be the responsibility of the client to check the parcel received from the couriers as to whether or not it has been manhandled at all. All goods and packaging is sent by iWebFolio in good order and if any parcel is received that is damaged, it shall be the clients responsibility to make a clear note of such on the waybill before signing that he/she has received it in good order and immediately thereafter inform thereof.

7. All couriers used by iWebFolio has a track record for reliability in keeping with the terms of their delivery service. However in isolated cases unforeseen circumstances such as vehicles that are hijacked or aeroplanes that could not take off due to weather conditions are all factors completely out of our control and we cannot take responsibility for the late delivery of such orders.

8. All orders placed, invoiced and where such have been paid for partially or fully by the customer shall be considered fixed orders and shall not be refunded under any circumstances. The customer may cancel certain items and use such credit for any other product and/or services.

9. Once proof has been sent to the Client, it is the Clients responsibility to ensure any errors or mistakes have been checked thoroughly with the artwork before signing and accepting for print / development. Under no circumstances will a refund be given back to a Client, once a Client has accepted and signed off proof in the final stages before print.

10. Where the customer may have any grievances with regards to any of the products and/or services rendered, such grievances should be communicated to in writing. If such grievance -whether this be print or design quality, delayed deliveries or any related matter be found reasonable, shall take any necessary actions to rectify such problems, but this shall not constitute grounds for cancellation of orders or refunds under any circumstances.

11. Where any graphical design service is done for the customer -all proofs shall be done electronically. It shall be the responsibility of the customer to ensure that he/she has verified all details (i.e. names, telephone numbers etc) to be correct as we do not take responsibility for any spelling mistakes and/or omissions after the customer has approved the design. Our printers generally reproduce colours on screen quite accurately but no colours can be guaranteed to be 100% accurate to how it displays on screen. Physical printed proofs can be send to the customer at additional charges. Where a CMYK colour is given by the customer we can more closely ensure the final colour to be as close as possible to the CMYK colour as supplied?

12. Logo Design packages shall cover traditional 2D graphical design only and does not cover 3D, Animation or Cartooning which shall be quoted for separately. Full ownership of the finalised logo concept shall be transferred to the customer providing any outstanding amounts due by the customer are settled. Where a customer requires a logo to be copyrighted this process and all costs involved shall be the responsibility of the customer. All logo design concepts that were done during the course of a logo design packages which were not selected for the final logo shall remain the property of iWebFolio, and the customer shall only be allowed to use the finalised logo. Logo packages not finalised after 3 months shall be considered finalised and no further design work shall be done after this without being charged for extra.

13. All Artwork, Signage or any other products supplied remain the property of iWebFolio until all Invoices are settled by the customer. No artwork will be released until fully paid for. Full payment is required for any print work and materials such as vinyl or digital print. Proof of EFT payments must be emailed to This e-mail address is being protected from spambots. 14. The terms and conditions as set out herein is subject to change and by no means all inclusive -any issue not particularly dealt with herein shall be dealt on a case by case basis -and unless written promises or guarantees have been made to the contrary, management shall make decisions on such issues at own discretion. Should you have a question as to our policy on any particular matter which were not addressed herein you are welcome to contact us to verify this before making use of any of our product and services.

Our desire is to delight the client. One way is to make clear our understandings with each other. These are the terms of our agreement together in Website Developmemt:

Authorization
The client is engaging iWebFolio, as an independent contractor for the specific project of developing and/or improving a World Wide website to be installed on the client's web space on a web hosting provider's server. The client hereby authorizes IWebFolio to access this account, and authorizes the web hosting service to provide IWebFolio with "write permission" for the client's webpage directory, and any other directories or programs which need to be accessed for this project. The client also authorizes IWebFolio to publicize their completed website to Web search engines, as well as other Web directories and indexes.

Content Management System (CMS) Website – 10 Pages
IWebFolio includes the following elements in the Standard Content Management Website Package:
Installation & Configuration of Content Management System on server
IWebFolio uses the world renowned Joomla Content Management system. This is an open source system which we install and configure first on a demo server where a custom designed template is installed, and content added. On approval of the final website, the website will be made live on the web hosting provider’s server.

Custom Graphics Template
IWebFolio will supply the Client with up to 2 mockup designs based upon the brief from the consultation. The client will have the option to request additional changes until they are happy with the design and give approval of a final draft.

The graphic template will, in a professional way, convey the client’s brand to the public, including brand colours and logos.

Words of Text
The content of the webpage’s will be supplied by the client and executed as specified by the client in the Website Planning Worksheet. Website page = roughly 1 A4 page. Webpage’s of more than 1,500 words of text may be subject to additional fees, especially if they require a great deal of formatting. This website includes up to 10 webpage’s. In case the client desires additional standard webpage’s beyond 10 pages, the client agrees to pay IWebFolio an additional R200 for each additional webpage.

Photos and other Misc
Graphic images supplied by client unless Photography is required. (Not included in standard package and would need to be arranged)

Additional changes
After the website has gone live minor changes/assistance will be given. Major changes or additional work will be billed at an hourly rate of R300 p/h.

Site publicity / SEO
Website submitted to popular search engines. Global keywords will be embedded, but clients will be instructed how to add keywords on each page increase search engine ratings. Its the clients duty to supply iWebFolio with their recommended / chosen key words for SEO purposes on their website to be implemented.

E-mail response link on each webpage to any e-mail address the client designates.

The content of the webpage’s will be supplied by the client and executed as specified by the client in the Website Planning Worksheet.

Web Hosting
The client understands that any web hosting services require a separate contract with a web hosting service. The client agrees to select a web hosting service which allows IWebFolio full access to the website and a cgi-bin directory via FTP. The client further understands that if the web hosting service's operating system is not a Unix system, standard CGI software may not work, and providing a substitute may incur additional charges. The hosting package should include Apache 2.0+, MySQL 4.1+, PHP 5.2+. It will be the client / clients chosen web hosting company responsibility to upload their database to their server. iWebFolio will assist where possible with the upload of their website database provided by iWebFolio on completion of web development. iWebFolio will not be held responsible to upload to a clients web hosting client /servers.

Legal Stuff
IWebFolio does not warrant that the functions contained in these webpage’s or the Internet website will meet the client's requirements or that the operation of the webpage’s will be uninterrupted or error-free. The entire risk as to the quality and performance of the webpage’s and website is with client. In no event will IWebFolio be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these webpage’s or website, even if IWebFolio has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. Client agrees that Developer may include development credits and links within any code Developer designs, builds or amends. Client agrees that Developer reserves the right to include any work done for the Client in a portfolio of work.

Completion Date
IWebFolio and the client must work together to complete the website in a timely manner. If the client does not supply IWebFolio complete text and graphics content all webpage’s contracted for within six weeks of the date this contract was signed, the entire amount of the contract becomes due and payable. If the client has not submitted complete text and graphics content within two months after signing of this contract, an additional continuation fee of 10% of the total contract price will also be assessed each month until the website is advertised.

Payment of Fees
Fees to IWebFolio are due and payable on the following schedule: 50% upon signing this contract, 50% when the webpage’s have been constructed according to the client's original written specifications. If the total amount of this contract is less than R500, the total amount shall be paid upon signing this contract. In case the client has not secured Web space on a web hosting service by the time the webpage’s are completed, the webpage’s may be delivered to the client on diskette or attached to an e-mail message. If an amount remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency. IWebFolio reserves the right to remove Webpage’s from viewing on the Internet until final payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by IWebFolio.

Assignment of Project
IWebFolio reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

Copyrights and Trademarks
The client represents to IWebFolio and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to IWebFolio for inclusion in webpage’s are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend IWebFolio and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

Laws Affecting Electronic Commerce (Applicable only to shopping cart websites)

From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend IWebFolio and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

You acknowledge and hereby grant iWebFolio a royalty-free branding, and in order to display and promote iWebFolio Services. iWebFolio retains the rights to all artwork concepts and other content not selected by you.

Copyright to Webpage’s
Copyright to the finished assembled work of webpage’s produced by IWebFolio is owned by IWebFolio. Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. IWebFolio and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.

Sole Agreement
The agreement contained in this "Website Design Contract" constitutes the sole agreement between IWebFolio and the client regarding this website. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for two (2) months after both parties sign this contract. Continued services after that time will require a new agreement.
